How a sale works in New York

A sale follows the same sequence in every market. The business is valued from its earnings, assets, size and industry. The records a buyer will ask for are prepared. The business is marketed without naming it, and buyers are asked to sign a non-disclosure agreement before they see the name or the financial statements. Each buyer is checked for money and fit, the letter of intent is negotiated, the buyer's review of the books is managed, and the sale is carried to closing.

State rules on tax clearance, bulk sale notices and the transfer of permits and licenses differ from state to state.

Rules that apply in New York

Notice when assets are sold

New York's Department of Taxation and Finance says the buyer in a bulk sale, meaning a sale of business assets outside the ordinary course of business by a seller required to collect sales tax, must notify the Department on Form AU-196.10 at least 10 days before paying for or taking possession of any assets, whichever comes first. Within five business days the Department issues either a release or a notice of claim to the buyer. Source: Department of Taxation and Finance Tax Bulletin ST-70 on bulk sales

Sales tax and the buyer's liability

New York's Department of Taxation and Finance says a buyer who pays the seller without following the bulk sale procedure may be held liable for the seller's unpaid sales and use taxes. A buyer who receives the Department's release, Form AU-197.1, will not be held liable for the seller's unpaid sales tax. A buyer who receives a notice of claim should place the full purchase price in escrow, and the Department states the tax due within 90 days of the notice. Permits and registrations

New York's Department of Taxation and Finance says the seller's Certificate of Authority, the state's sales tax registration, is not transferable. A buyer who will start or continue a business that makes taxable sales must register and obtain its own Certificate of Authority at least 20 days before beginning business. Unemployment insurance account

New York's Department of Labor says a buyer who acquires all or part of an existing business also acquires all or part of the seller's unemployment insurance experience rating account. The transfer applies when the buyer assumes any of the seller's obligations, acquires goodwill, continues the business or keeps substantially the same employees. If the buyer acquires the entire business, the seller's account is closed and its experience moves into the buyer's account. Source: Department of Labor page on transfers of business

What buyers look for

Buyers look first at profit that holds up under review. Three years of tax returns and profit and loss statements that match each other carry more weight than a high number that cannot be shown.

  • How much of the business depends on the owner

  • How concentrated sales are among a few customers

  • The lease, its remaining term and the landlord's consent to a sale

  • The condition of equipment and the contracts that transfer

FREQUENTLY ASKED QUESTIONS

Questions owners in New York ask

How long does it take to sell a business in New York?

The time depends on the price, the quality of the records and the number of qualified buyers. Many sales take six months or longer from the start of the process to closing.

How is a business valued in New York?

Valuation starts with the earnings the business produces for an owner, then adjusts for assets, size, industry and the terms a buyer is likely to accept. The result is a range, and the asking price is set inside it.

Is the sale confidential?

Buyers are asked to sign a non-disclosure agreement before they see the name of the business or its financial statements.

What should I prepare before listing?

Three years of tax returns and profit and loss statements, a current balance sheet, the lease, a list of equipment and a summary of key contracts.

What is the difference between SDE and EBITDA?

SDE means seller's discretionary earnings, which is the owner's pay plus the profit of the business. EBITDA means earnings before interest, taxes, depreciation and amortization, and it is used for larger businesses that run without the owner.
