How a sale works in Michigan

A sale follows the same sequence in every market. The business is valued from its earnings, assets, size and industry. The records a buyer will ask for are prepared. The business is marketed without naming it, and buyers are asked to sign a non-disclosure agreement before they see the name or the financial statements. Each buyer is checked for money and fit, the letter of intent is negotiated, the buyer's review of the books is managed, and the sale is carried to closing.

State rules on tax clearance, bulk sale notices and the transfer of permits and licenses differ from state to state.

Rules that apply in Michigan

Notice when assets are sold

Michigan repealed its bulk transfer law, the part of the Uniform Commercial Code that governed sales of most of a business's inventory at once, effective January 4, 1999. The Legislature's compiler notes say that rights and obligations that arose under the old article before the repeal remain valid. Source: Michigan Legislature compiled law (MCL 440.6101 to 440.6111)

Sales tax and the buyer's liability

The Michigan Department of Treasury says a buyer of even a portion of a business may be held responsible for the previous owner's tax liabilities, regardless of contract language to the contrary. Treasury calls this successor liability, meaning a buyer becomes responsible for the seller's unpaid taxes, and says the buyer must withhold enough money in escrow to cover the seller's business tax debts. The escrow may be released when the seller produces a Tax Clearance Certificate from Treasury stating that no taxes are due, and only the seller can request one. Permits and registrations

The Michigan Department of Treasury's sales tax rule says a sales tax license is not transferable and a new license must be secured immediately whenever the ownership of the business changes. The rule says a new owner who does not apply may be penalized for operating without a valid license. Source: Michigan Administrative Code sales tax license rule (R 205.1)

Unemployment insurance account

Michigan's Unemployment Insurance Agency says a transfer of the seller's unemployment tax account to the buyer is mandatory when 75 percent or more of the business's assets transfer and the buyer uses the trade name or goodwill, continues the business, or resumes it within 12 months. If less than 75 percent transfers, a voluntary transfer is possible when the agency is notified within 30 days after the end of the calendar quarter of the transfer and both owners ask for it in writing. What buyers look for

Buyers look first at profit that holds up under review. Three years of tax returns and profit and loss statements that match each other carry more weight than a high number that cannot be shown.

  • How much of the business depends on the owner

  • How concentrated sales are among a few customers

  • The lease, its remaining term and the landlord's consent to a sale

  • The condition of equipment and the contracts that transfer

FREQUENTLY ASKED QUESTIONS

Questions owners in Michigan ask

How long does it take to sell a business in Michigan?

The time depends on the price, the quality of the records and the number of qualified buyers. Many sales take six months or longer from the start of the process to closing.

How is a business valued in Michigan?

Valuation starts with the earnings the business produces for an owner, then adjusts for assets, size, industry and the terms a buyer is likely to accept. The result is a range, and the asking price is set inside it.

Is the sale confidential?

Buyers are asked to sign a non-disclosure agreement before they see the name of the business or its financial statements.

What should I prepare before listing?

Three years of tax returns and profit and loss statements, a current balance sheet, the lease, a list of equipment and a summary of key contracts.

What is the difference between SDE and EBITDA?

SDE means seller's discretionary earnings, which is the owner's pay plus the profit of the business. EBITDA means earnings before interest, taxes, depreciation and amortization, and it is used for larger businesses that run without the owner.
